Terms of Use

1. Acceptance

These Terms of Use (the "Terms") govern the use of the Winda website at winda.ai (the "Site"), operated by Winda Inc. ("Winda"), a Texas corporation.

By using the Site, a visitor accepts these Terms. Anyone who does not accept them should not use the Site. A person who uses the Site for a company accepts these Terms for that company and confirms that they have authority to do so.

These Terms cover the Site only. Winda's products and services are governed by separate written agreements, and those agreements take priority over these Terms for the products and services they cover.

2. Use of the Site

Visitors may use the Site to learn about Winda and to contact Winda for business purposes. When using the Site, visitors agree not to:

• break any law or regulation
• send false information, or impersonate another person or company
• interfere with the Site, its security or its servers, or try to gain unauthorized access to any part of it
• copy content from the Site in bulk, or use automated tools to scrape it, except as normal search engines do
• upload or send malicious code, spam or unlawful material
• use the Site or its content to build a competing product or service

Visitors should not send confidential, export-controlled or sensitive information through the Site's forms. Information sent through the forms is handled as described in the Privacy Policy.

Winda may change, suspend or withdraw any part of the Site at any time, and may restrict access for anyone who breaks these Terms.

3. Intellectual property

Winda or its licensors own the Site and its content, including text, graphics, drawings, 3D models, software, data and page design. The content is protected by copyright and other intellectual property laws.

The Winda name, the Winda logo and the names of Winda's products are trademarks of Winda. Visitors may not use them without Winda's written permission, except to refer to Winda and its products accurately.

Visitors may view the Site and print or save pages for their own internal business use, provided they keep all copyright and other notices. Any other use requires Winda's written permission. Using the Site gives no license or right other than the ones stated here.

4. Information only; no engineering advice

The content of the Site is for general information. It does not constitute engineering, technical, safety, legal or other professional advice, and it does not replace the judgment of qualified engineers.

Sample data, sample outputs, demonstrations, illustrations and 3D models on the Site are examples. They show generic equipment and do not describe any real asset, project or client. Results for a real asset depend on its own data, conditions and engineering review.

Decisions about the design, operation, inspection or maintenance of any asset remain the responsibility of the asset owner and its qualified engineers.

5. Links to other sites

The Site links to websites and services operated by others, such as LinkedIn. Winda does not control those sites and is not responsible for their content, availability or privacy practices. A link does not mean that Winda endorses the site. A visitor's use of another site is governed by that site's own terms.

6. No warranties

The Site and its content are provided "as is" and "as available". To the maximum extent permitted by law, Winda makes no warranties of any kind, express or implied, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement.

Winda does not warrant that the Site will be uninterrupted, secure or free of errors or harmful components, or that its content is current.

7. Limitation of liability

To the maximum extent permitted by law, Winda and its directors, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising from or related to the Site or its content, even if Winda was told such damages were possible.

To the maximum extent permitted by law, Winda's total liability for all claims arising from or related to the Site, combined, is limited to US$100.

These Terms cover the Site only. A product, service or hardware supply that Winda provides under a separate written agreement is governed by that agreement, including its own limits of liability.

Some laws do not allow certain warranties or liabilities to be excluded or limited. Where those laws apply, the exclusions and limits above apply only as far as the law permits.

8. Indemnity

Each visitor agrees to defend, indemnify and hold harmless Winda and its directors, employees and agents from any claims, losses, damages, liabilities and costs, including reasonable legal fees, that arise from the visitor's breach of these Terms or misuse of the Site.

9. Governing law and disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of laws rules.

Any dispute arising from or related to these Terms or the Site will be resolved exclusively in the state or federal courts located in Harris County, Texas. Each party consents to the jurisdiction of those courts.

10. General

If any part of these Terms is found unenforceable, the rest remains in effect. If Winda does not enforce a part of these Terms, Winda keeps the right to enforce it later. These Terms, together with the Privacy Policy and the Cookie Policy, are the whole agreement between Winda and visitors about the use of the Site.

11. Changes

Winda may update these Terms from time to time. The date at the top shows when they last changed. Continued use of the Site after a change means acceptance of the updated Terms.
